Terms of Service

Welcome to Precision Metal Fabrication. By accessing our services, you agree to be bound by these Terms of Service. Please read them carefully before engaging with our fabrication services.

1. Service Agreement

These Terms of Service ("Terms") govern your use of our sheet metal fabrication services, including but not limited to laser cutting, CNC bending, welding, and surface treatment solutions.

1.1 Acceptance of Terms

By submitting a quote request, placing an order, or utilizing any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any applicable laws and regulations.

1.2 Modifications

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after modifications constitutes acceptance of the updated Terms.

2. Services Provided

We offer comprehensive sheet metal fabrication services to equipment manufacturers and operators, including:

  • Laser cutting and CNC punching
  • CNC bending and forming
  • Welding and assembly
  • Surface treatment (powder coating, anodizing, plating)
  • Quality inspection and packaging

2.1 Custom Manufacturing

All services are provided on a custom order basis. Specifications, materials, quantities, and delivery schedules are determined by mutual agreement and documented in quotations and purchase orders.

3. Quotations and Orders

3.1 Quote Validity

All quotations are valid for 30 days from the date of issue unless otherwise specified. Prices are subject to change based on material costs, exchange rates, and order specifications.

3.2 Order Confirmation

Orders are confirmed upon receipt of:

  • Signed quotation or purchase order
  • Complete technical drawings (CAD files, PDFs with dimensions)
  • Material specifications and surface treatment requirements
  • Required deposit payment (typically 30-50% of order value)

3.3 Design for Manufacturing (DFM)

We provide complimentary DFM feedback to optimize your designs for cost-effectiveness and manufacturability. However, final design responsibility rests with the customer.

4. Payment Terms

4.1 Standard Terms

  • New customers: 50% deposit, 50% before shipment
  • Established customers: Net 30 days (subject to credit approval)
  • Large orders may require milestone-based payments

4.2 Late Payment

Late payments may incur interest charges at a rate of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for accounts with overdue balances.

5. Intellectual Property

5.1 Customer Designs

All technical drawings, CAD files, and proprietary information provided by customers remain the intellectual property of the customer. We maintain strict confidentiality and will not disclose or reproduce your designs without written permission.

5.2 Manufacturing Knowledge

Our manufacturing processes, techniques, and operational methods remain our proprietary intellectual property.

6. Quality and Tolerances

6.1 Standards

All parts are manufactured to industry-standard tolerances unless tighter tolerances are specified and agreed upon in writing. We maintain ISO 9001 certification and follow established quality management procedures.

6.2 Inspection

Customers have 7 days from receipt of goods to inspect and report any defects or non-conformities. Claims made after this period may not be accepted unless defects are latent and not reasonably discoverable upon initial inspection.

7. Warranties and Liability

7.1 Limited Warranty

We warrant that all parts will be free from defects in materials and workmanship for a period of 90 days from delivery. This warranty does not cover:

  • Normal wear and tear
  • Improper installation or use
  • Modifications made by third parties
  • Damage from accidents, abuse, or neglect

7.2 Limitation of Liability

Our total liability for any claim arising from our services shall not exceed the price paid for the specific parts or services giving rise to the claim. We are not liable for indirect, incidental, consequential, or special damages including lost profits, production delays, or business interruption.

7.3 Design Responsibility

Customers are solely responsible for the design, functionality, and fitness for purpose of their parts. We manufacture to provided specifications but do not warrant that designs will meet customer's intended application requirements.

8. Delivery and Shipping

8.1 Lead Times

Quoted lead times are estimates and not guaranteed delivery dates. We will make reasonable efforts to meet agreed schedules but are not liable for delays caused by material shortages, equipment failure, or other circumstances beyond our control.

8.2 Shipping Terms

Unless otherwise agreed, all shipments are FOB our facility. Risk of loss transfers to customer upon delivery to carrier. Customers are responsible for freight charges unless otherwise specified.

9. Cancellations and Returns

9.1 Order Cancellation

Orders may be cancelled before production begins with written notice. Cancellation fees may apply based on work completed, materials purchased, and schedule disruption. Orders cannot be cancelled once production has commenced.

9.2 Returns

Custom-manufactured parts are non-returnable except for defects covered under warranty. Return authorization must be obtained before shipping any parts back to our facility.

10. Confidentiality

We agree to maintain confidentiality of all customer information, technical data, and business details. This obligation survives termination of business relationship and continues for a period of 5 years.

11. Force Majeure

We are not liable for delays or failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, pandemics, or supplier failures.

12. Governing Law

These Terms are governed by and construed in accordance with applicable local laws. Any disputes shall be resolved through binding arbitration or in courts of competent jurisdiction as mutually agreed.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect.
